These Terms & Conditions (“Terms”) govern registration for and participation in the Value Add CRE Mastermind and any related mastermind, workshop, conference, networking event, property tour, educational session, dinner, private group, or other event experience organized by Value Add Network LLC (“Value Add Network,” “we,” “us,” or “our”).

By registering for, purchasing access to, or attending an Event, you agree to these Terms.

1. About the Event

The Value Add CRE Mastermind is an educational and networking experience designed for real estate investors, operators, brokers, lenders, capital partners, and other real estate professionals.

Events may include:

  • Educational sessions
  • Commercial real estate case studies
  • Deal analysis and underwriting
  • Discussions regarding capital and financing
  • Artificial intelligence tools and technology
  • Networking
  • Speaker presentations
  • Workshops
  • Property tours
  • Meals and social activities
  • Private attendee groups or communications
The exact agenda, location, dates, speakers, activities, benefits, and package inclusions are described on the applicable registration or checkout page.

2. Eligibility

Unless otherwise stated, attendees must be at least 18 years old.

Value Add Network may review registrations and applications to determine whether the Event is appropriate for a prospective attendee.

Registration does not guarantee admission until payment has been successfully completed and, where applicable, the attendee has been approved by Value Add Network.

We reserve the right to decline or cancel a registration where reasonably necessary for safety, compliance, capacity, event quality, or other legitimate business reasons.

If we decline an attendee before the Event for reasons unrelated to misconduct or a violation of these Terms, any Event registration fee already paid will be refunded.

3. Event Fees and Packages

Event registration fees vary depending on the Event, ticket type, package, or level of access selected.

Event packages generally range from $500 to $3,000, unless otherwise stated on the applicable registration page.

The exact price and package inclusions shown at checkout at the time of purchase control your transaction.

Depending on the package, registration may include items such as:

  • Event admission
  • Meals
  • Workshops
  • Speaker materials
  • Private attendee groups
  • Property tours
  • Networking activities
  • Photos or media from the Event
  • Other benefits specifically identified on the registration page
Anything not expressly included in the selected package is excluded.

Travel, airfare, transportation, lodging, parking, personal expenses, and other costs are the attendee's responsibility unless the registration page expressly states otherwise.

4. Payment

Payment is due according to the terms displayed at checkout.
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment processors to charge the applicable amount.

Applicable taxes or processing charges may be added where required or disclosed at checkout.

You agree not to initiate an improper chargeback for a valid Event registration. Nothing in this provision limits any rights you may have under applicable law or through your payment provider

5. Cancellation and Refund Policy

Unless a different refund policy is expressly displayed at checkout, Event registrations are non-refundable after purchase, except as required by applicable law or as provided below.

If Value Add Network Cancels the Event

If we cancel the Event and do not provide a replacement or rescheduled event, we will refund the Event registration fee paid to Value Add Network.

Our responsibility is limited to the registration fee paid to us.

We are not responsible for reimbursement of:

  • Flights
  • Hotels
  • Transportation
  • Visa expenses
  • Lost income
  • Business expenses
  • Third-party booking fees
  • Other travel or personal expenses
Attendees should consider refundable travel arrangements or appropriate travel insurance where relevant.

If the Event Is Rescheduled

If an Event is moved to a different date, your registration will ordinarily transfer automatically to the rescheduled Event.

If you cannot attend the new date, you may request a refund of your Event registration fee by contacting us within 14 days after the rescheduling announcement.

Attendee Cancellation or No-Show

If you cancel your attendance, arrive late, leave early, or fail to attend, no refund or partial refund is required unless otherwise required by law.

Registration Transfers

We may allow you to transfer your registration to another eligible attendee if you contact us before the Event.

Transfers require written approval from Value Add Network and may be subject to eligibility or application requirements.

6. Changes to the Agenda, Speakers, and Activities

Commercial real estate professionals, speakers, properties, schedules, and travel logistics may change.

We may reasonably modify:
  • Speakers
  • Session topics
  • Agenda
  • Session times
  • Property tours
  • Venues
  • Meals
  • Networking activities
  • Event format
  • Other components of the Event
A change to an individual speaker, topic, property tour, session, or agenda item does not constitute cancellation of the Event and does not automatically create a right to a refund.
We will make reasonable efforts to provide an experience substantially consistent with the Event as advertised.

7. Educational Purpose Only

The Event is provided for general educational, informational, and networking purposes.
Nothing presented at the Event constitutes individualized:
  • Investment advice
  • Securities advice
  • Financial advice
  • Legal advice
  • Tax advice
  • Accounting advice
  • Lending advice
Information may be based on speakers' personal experiences, opinions, assumptions, strategies, or past transactions.

You should consult qualified legal, tax, accounting, financial, lending, and investment professionals regarding your individual circumstances.

8. No Investment Offer or Fiduciary Relationship

Participation in the Event does not create an investment advisory, broker-dealer, fiduciary, agency, partnership, joint venture, employment, or other similar relationship between you and Value Add Network LLC.

Discussions at the Event may include commercial real estate transactions, financing, capital raising, partnerships, or investment opportunities.

Such discussions are educational or networking in nature unless the applicable parties separately enter into a formal transaction.

Nothing on the Event website, during the Event, or in Event materials constitutes an offer to sell or solicitation to purchase any security or investment product.

Any actual investment opportunity must be evaluated independently and, where applicable, will be governed by its own offering documents, contracts, disclosures, and legal requirements.

9. No Guarantee of Deals, Capital, Partnerships, or Results

The Event is designed to facilitate education, relationships, and collaboration, but Value Add Network does not guarantee that any attendee will obtain:

  • A commercial real estate deal
  • Financing
  • Investment capital
  • An investor
  • A lender
  • A business partner
  • A tenant
  • A property
  • A particular investment return
  • Revenue
  • Profit
  • Portfolio growth
  • Any other financial or business result
Your results depend on numerous factors, including your experience, capital, market conditions, decisions, effort, execution, risk tolerance, and circumstances outside our control.
Commercial real estate and other investments involve risk, including the possibility of losing some or all invested capital.

10. Testimonials, Case Studies, and Member Results

The Event website or presentations may feature testimonials, case studies, examples, or results achieved by Value Add Network members, partners, speakers, or other individuals.
These examples describe the experiences of particular individuals or transactions.
They are provided for informational purposes and should not be interpreted as a promise, guarantee, forecast, or representation that another attendee will achieve the same or similar results.

Individual circumstances and investment outcomes vary substantially.
Nothing presented should be interpreted as a guarantee of earnings, profit, portfolio growth, investment return, cash flow, or future performance.

11. Independent Due Diligence

You are solely responsible for evaluating any property, deal, investment, lender, service provider, partner, technology, strategy, or opportunity discussed at or through the Event.
Before making any business or investment decision, you should perform your own due diligence and obtain professional advice where appropriate.

Value Add Network does not guarantee the accuracy, completeness, suitability, or future performance of information provided by attendees, speakers, sponsors, vendors, partners, or other third parties.

12. Networking and Attendee Interactions

The Event is intended to encourage meaningful professional relationships.
However, Value Add Network does not independently guarantee or endorse the:

  • Financial condition
  • Experience
  • Licensing
  • Background
  • Statements
  • Investment opportunities
  • Services
  • Products
  • Conduct
of any attendee, speaker, sponsor, vendor, or third party.
You are responsible for conducting appropriate due diligence before entering into any business, financial, investment, or contractual relationship with another person you meet through the Event.

13. Confidential and Proprietary Information

Attendees may discuss proprietary business information, transactions, investment strategies, properties, or other sensitive matters.

You agree to act professionally and respect information that another attendee clearly identifies as confidential.

However, the Event is not a legally confidential environment, and Value Add Network cannot guarantee that another attendee will maintain confidentiality.

Do not disclose information at the Event that you cannot safely share without a separate confidentiality agreement.

Where confidentiality is important, the relevant parties should enter into their own nondisclosure agreement.

14. Intellectual Property

Event materials may include:
  • Presentations
  • Frameworks
  • Models
  • Templates
  • Checklists
  • Videos
  • Documents
  • Worksheets
  • Training materials
  • Software workflows
  • Proprietary processes
Unless otherwise stated, these materials are owned by Value Add Network LLC, the applicable speaker, or another rights holder.

Registration gives you a limited, personal, non-exclusive, non-transferable right to use Event materials for your own educational and business purposes.

You may not, without written permission:

  • Resell Event materials
  • Republish them publicly
  • Upload substantial portions to another platform
  • Create competing training products using our proprietary materials
  • Record and commercially distribute Event sessions
  • Represent Event materials as your own
15. Photography, Video, and Event Media

Events may be photographed, filmed, livestreamed, or otherwise recorded.
By attending an Event, you acknowledge that photographs or recordings may incidentally include your image, likeness, or voice.

You grant Value Add Network LLC permission to use general Event photography and recordings that include you for legitimate Event, community, archival, promotional, website, social media, and marketing purposes.

If you have a specific concern about appearing in Event media, contact our team before the Event and we will make reasonable efforts to accommodate your request.

Use of an attendee's detailed testimonial, personal financial results, or individual case study for advertising may be subject to a separate approval or release where appropriate.

16. Attendee Recording

Unless expressly permitted, attendees may not professionally record full presentations, workshops, or private mastermind discussions.

Reasonable personal photography is generally permitted unless:
  • The speaker asks attendees not to record
  • Confidential information is being discussed
  • Recording interferes with the Event
  • Another attendee reasonably objects to being recorded
We may establish additional recording rules for particular sessions.

17. Property Tours
Some Events may include tours of commercial properties or other locations.
Participation in a property tour is voluntary.

Commercial properties may contain ordinary hazards associated with active properties, construction, parking areas, warehouses, industrial facilities, mechanical areas, uneven surfaces, weather conditions, or other site-specific circumstances.

You agree to:
  • Follow staff and property instructions
  • Remain within permitted areas
  • Use reasonable care
  • Avoid interfering with tenants or operations
  • Follow posted safety requirements
To the extent permitted by law, you assume the ordinary risks associated with voluntarily participating in property tours.

18. Code of Conduct
Attendees must behave professionally and respectfully.

The following may result in removal from the Event:
  • Harassment
  • Threats
  • Discrimination
  • Violence
  • Unsafe behavior
  • Serious disruption of Event activities
  • Unauthorized solicitation after being asked to stop
  • Fraudulent or intentionally misleading conduct
  • Unauthorized recording
  • Damage to property
  • Conduct that materially interferes with other attendees' experience
We reserve the right to remove an attendee when reasonably necessary to protect attendees, staff, property, or the integrity of the Event.

An attendee removed for material misconduct or violation of these Terms is not entitled to a refund except where required by applicable law.

19. Alcohol and Personal Responsibility
Certain Event activities may take place at restaurants, hotels, or venues where alcohol is available.

Attendees are responsible for their own decisions and conduct.
You must comply with applicable age restrictions and laws and should not drive or engage in unsafe activity while impaired.

Value Add Network does not require alcohol consumption as part of participation.

20. Third-Party Services

The Event may involve third-party venues, restaurants, hotels, speakers, technology providers, transportation providers, photographers, vendors, or service providers.

Those parties operate independently and may have their own terms, policies, and procedures.
Value Add Network is not responsible for the independent acts or omissions of third parties except to the extent required by applicable law.

21. Communications

When you register for the Event, we may send you transactional or informational communications relating to:

  • Registration
  • Payment
  • Event logistics
  • Schedule updates
  • Location information
  • Speaker information
  • Property tours
  • Event materials
  • Attendee groups
  • Follow-up information
You may separately choose to receive marketing communications.
Email
Marketing emails may include information about future events, education, programs, services, or opportunities from Value Add Network LLC.
You may unsubscribe from marketing emails using the unsubscribe link contained in the email.
SMS
Where you provide appropriate consent, Value Add Network LLC may send informational and/or marketing text messages to the telephone number you provide.
Message frequency varies. Message and data rates may apply.
Reply STOP to opt out of text messages.
Reply HELP for assistance.

Consent to receive marketing text messages is not a condition of purchasing Event admission or any other product or service.

Our handling of personal information is further described in our Privacy Policy.

22. Event Communications and Private Groups
Registration may include access to a private group, chat, messaging platform, or attendee directory.

Participation in these features is optional unless otherwise stated.

You agree not to use attendee information obtained through the Event to engage in spam, harassment, deceptive marketing, or unlawful solicitation.

Providing access to an attendee community does not mean that Value Add Network endorses every statement, opportunity, service, or individual within that community.

23. Assumption of Business and Investment Risk

Commercial real estate decisions may involve substantial financial risk.

You acknowledge that:
  • Property values may decline
  • Financing may become unavailable
  • Interest rates may change
  • Tenants may default or leave
  • Construction costs may increase
  • Market conditions may change
  • Investments may lose value
  • Business relationships may fail
  • Projected returns may not occur
You are responsible for deciding whether any strategy, transaction, or investment is appropriate for you.

24. Limitation of Liability
To the maximum extent permitted by applicable law, Value Add Network LLC and its owners, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Event.

To the maximum extent permitted by applicable law, our aggregate liability arising from your Event registration will not exceed the amount you paid directly to Value Add Network LLC for the applicable Event.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

25. Force Majeure

We are not responsible for delays, modifications, or inability to perform caused by events reasonably outside our control, including:

  • Severe weather
  • Natural disasters
  • Fire
  • Government actions
  • Public health emergencies
  • Venue closures
  • Transportation disruptions
  • Power or technology failures
  • Labor disruptions
  • Civil disturbances
  • Acts of terrorism
  • Other extraordinary circumstances
If such circumstances require cancellation or rescheduling, Section 5 of these Terms will govern registration fees.

26. Privacy

Our collection and use of personal information is governed by the Value Add Network LLC Privacy Policy.
By registering for the Event, you acknowledge that you have had an opportunity to review the Privacy Policy.

27. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles.
Unless applicable law requires otherwise, disputes relating to these Terms or the Event will be subject to the jurisdiction of the state or federal courts located in Minnesota.

28. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

29. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

30. Changes to These Terms

We may update these Terms periodically.
The version in effect at the time you purchase your Event registration will generally govern that registration unless a change is required by law or is necessary to administer the Event.
Material changes affecting an existing registration will be communicated where reasonably required.

31. Entire Agreement
These Terms, together with:
  • The applicable Event registration or checkout page
  • The applicable refund or package terms shown at checkout
  • Our Privacy Policy
  • Any separate written agreement specifically entered into between you and Value Add Network LLC
constitute the agreement regarding your Event registration.
If a package-specific term expressly conflicts with these Terms, the more specific term disclosed to you at the time of purchase will govern that particular issue.
